PromptPad - Terms of Service

1. Introduction

Welcome to PromptPad, an iOS application that helps you create, organize, and share AI prompts with powerful search, templating, and community features (the "Service"). These Terms of Service ("Terms") form a legally binding agreement between you ("User," "you," or "your") and Leap Tech LLC ("LeapTech," "PromptPad," "we," "us," or "our"). By downloading, installing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility & Account Registration

• Minimum age. You must be at least 13 years old (or the age of digital consent in your jurisdiction) to create an account.
• Account creation. You may create an account using Sign in with Apple or Sign in with Google. You agree to provide accurate information and to keep your credentials secure.
• User profile. You can create a profile with a displayName, unique handle, and optional profile picture for community features.
• Parental consent. If you are between 13 and 17, you affirm that your parent or legal guardian consents to your use of the Service and to these Terms.

3. License & Acceptable Use

License. PromptPad grants you a limited, revocable, non-transferable, non-exclusive license to install and use the App on an iOS device that you own or control for personal or professional purposes, subject to these Terms and Apple's App Store Terms of Service.

Prohibited conduct. You agree not to:

• Violate any applicable law or intellectual-property right;
• Upload prompts that you do not have the legal right to share;
• Use the Service to create, store, or distribute unlawful, harmful, harassing, defamatory, or infringing content;
• Share prompts publicly that contain confidential, proprietary, or private information;
• Interfere with or disrupt the Service or reverse-engineer, decompile, or attempt to extract source code except to the extent such restriction is prohibited by law;
• Circumvent, disable, or tamper with security-related features or usage limits;
• Use any automated means to access, scrape, or bulk-download prompts from the Service.

4. User Content & Community Features

• Your content. You retain all rights in the AI prompts, collections, tags, and other content you create ("User Content"). You warrant that you have the necessary rights to upload and process such content and that it does not infringe any third-party rights or violate law.
• License to PromptPad. Solely for the purpose of operating and improving the Service, you grant PromptPad a worldwide, royalty-free license to host, process, copy, modify, and create derivative works from your User Content. This license ends when you delete the content or your account, subject to reasonable backup and compliance retention.
• Public prompts. When you mark a prompt as public, it becomes visible to other users in our community features. You can toggle this setting at any time. Public prompts may be copied by other users but remain your intellectual property.
• Community guidelines. Public prompts must comply with our community guidelines and applicable laws. We reserve the right to remove content that violates these standards.

5. Service Features

• Prompt organization. You can organize prompts into hierarchical collections and use tags for flexible categorization.
• Template variables. You can create reusable prompt templates with variables for customization without altering the original prompt.
• Search functionality. The Service provides full-text search across your prompt library with filtering and sorting capabilities.
• Cloud synchronization. The Service keeps your prompts synchronized across all your devices.
• Premium features. Subscription plans provide unlimited access to all Service features.

6. Subscriptions & Payments

• Subscription tiers. PromptPad offers monthly ($4.99 USD) and lifetime ($29.99 USD) subscription plans that provide unlimited access to premium features.
• Billing. Subscriptions are billed through your Apple ID account and managed by Apple's App Store. Payment will be charged to your Apple ID at confirmation of purchase.
• Auto-renewal. Your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period.
• Cancellation. You may cancel your subscription at any time through your Apple ID Account Settings. Cancellation takes effect at the end of the current billing period. No refunds will be provided for the unused portion of any subscription period.
• Refunds. All purchases are handled by Apple. Refund requests must be submitted through Apple's App Store according to Apple's refund policies.
• Changes to pricing. We may change subscription fees at any time. Changes will apply to subsequent subscription periods after notice to you.

7. Apple In-App Purchase Terms

All subscription purchases are subject to Apple's Licensed Application End User License Agreement (EULA). By purchasing a subscription, you acknowledge and agree to Apple's EULA available at: https://www.apple.com/legal/internet-services/itunes/dev/stdeula/

8. Intellectual Property

• PromptPad IP. The Service, trademarks, logos, source code, and all content not provided by users are owned by PromptPad or its licensors and protected by intellectual-property laws.
• User Content ownership. You retain ownership of your prompts and content. Public sharing does not transfer ownership.
• Feedback. If you send us ideas or suggestions, you grant PromptPad a perpetual, irrevocable, royalty-free license to use them without any obligation to you.

9. Privacy

Your privacy is important to us. Please review the PromptPad Privacy Policy to understand how we collect, use, and safeguard your data.

10. Disclaimers

• No professional advice. The Service is provided for informational and organizational purposes only. PromptPad does not provide legal, medical, financial, or other professional advice, and AI prompts should not be used as a substitute for professional consultation.
• Service "AS IS." PromptPad and its suppliers provide the Service "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not guarantee that the Service will be uninterrupted, secure, or error-free.
• Third-party services. The App relies on Apple, Google, PostgreSQL, Java backend services, and other third-party providers. PromptPad is not responsible for their acts or omissions.
• User Content. We do not endorse or guarantee the accuracy, completeness, or quality of User Content, including public prompts shared by other users.

11. Limitation of Liability

To the maximum extent permitted by law, PromptPad, its affiliates, officers, employees, agents, suppliers, or licensors shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for loss of profits, data, or goodwill arising out of or relating to your use of or inability to use the Service, even if advised of the possibility of such damages. PromptPad's total cumulative liability for any claim arising out of these Terms or the Service will not exceed the greater of (a) US $100 or (b) the amount you paid to PromptPad in the 12 months preceding the claim.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless PromptPad and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorneys' fees) arising from: (a) your use of the Service; (b) your violation of any term of these Terms; (c) your infringement of any third-party right; or (d) your User Content.

13. Termination

• By you. You may stop using the Service and delete your account at any time within the app or by contacting alex@promptpadapp.com.
• By PromptPad. We may suspend or terminate your access to the Service immediately, with or without notice, if you violate these Terms, create risk or possible legal exposure for us, or if we discontinue the Service.
• Effect of termination. Upon termination, your right to use the Service ceases, but your prompts marked as public may remain visible to other users. Sections 4, 6, 8-10, 12-14 survive termination.

14. Governing Law & Dispute Resolution

• Governing law. These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law principles.
• Arbitration. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. No class actions or jury trials. The arbitration shall take place in Tampa, Florida, or remotely at your election.
• Small-claims exception. Either party may bring an individual claim in small-claims court.
• Injunctive relief. Each party may seek injunctive or equitable relief in court for infringement of intellectual-property rights.

15. Apple App Store Terms & Third-Party Beneficiary

These Terms are between you and PromptPad, not Apple. Apple has no obligation to furnish maintenance or support for the App. In the event of any failure of the App to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price; to the maximum extent permitted by law, Apple will have no other warranty obligation. Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms and may enforce them against you.

16. Changes to the Terms

We may modify these Terms at any time. When we do, we will update the "Effective date" and notify you through the App or by other reasonable means. Continued use after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

17. Miscellaneous

• Entire agreement. These Terms constitute the entire agreement between you and PromptPad regarding the Service and supersede any prior agreements.
• Severability. If any provision is held invalid, the remainder will remain in full force and effect.
• Waiver. Our failure to enforce any provision is not a waiver of future enforcement.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure. PromptPad is not liable for delays or failures due to causes beyond its reasonable control.
